6. Intellectual Property

6.1 Client IP

Clients retain ownership of their pre-existing intellectual property, data, and content provided to us.

6.2 Developed IP

Unless otherwise agreed in writing, intellectual property rights in custom software and deliverables developed specifically for a client will transfer to the client upon full payment of all fees.

6.3 Company IP

We retain ownership of our pre-existing IP, methodologies, frameworks, and any improvements or derivatives thereof.

Both parties agree to maintain confidentiality of non-public information shared during the course of our business relationship. This obligation survives termination of services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

10. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

11. Termination

11.1 Termination for Convenience

Either party may terminate services with 30 days written notice.

11.2 Termination for Cause

Either party may terminate immediately for material breach that remains uncured after 15 days written notice.

11.3 Effect of Termination

Upon termination, each party shall return or destroy confidential information and Client shall pay for all services performed up to the termination date.
